By accessing, browsing, or using the MatchzClassified website (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the "Terms"), together with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you (the "User") and MatchzClassified (the "Company", "we", "us", or "our"). Your continued use of the Platform following the posting of any amendments to these Terms shall constitute your acceptance of such amendments. We recommend that you review these Terms periodically to ensure you are aware of any changes.

Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or employment relationship between you and the Company. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.

To access certain features of the Platform, including posting listings, sending messages, and purchasing subscriptions or tokens, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding the password that you use to access the Platform and for any activities or actions taken under your account.

You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account by contacting our support team. We shall not be liable for any loss or damage arising from your failure to comply with this obligation. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.

Each User may maintain only one active account on the Platform. Creating multiple accounts for the purpose of circumventing restrictions, evading bans, or manipulating the Platform's features is strictly prohibited and may result in the permanent termination of all associated accounts without notice or refund.

The Platform is intended solely for individuals who are at least eighteen (18) years of age. By registering for an account or using the Platform in any capacity, you represent and warrant that you are at least eighteen years old. If we have reason to believe that a User is under the age of eighteen, we will immediately terminate their account and delete all associated data without notice.

You further represent and warrant that you have the legal capacity to enter into a binding agreement and that your use of the Platform does not violate any applicable law, regulation, or obligation to which you are subject. It is your sole responsibility to ensure that your use of the Platform complies with all laws applicable to you in your jurisdiction, including but not limited to laws related to the content you post and the services you advertise.

We reserve the right to request proof of age or identity at any time. Failure to provide satisfactory documentation upon request may result in the immediate suspension or termination of your account. We implement age-gating measures on the Platform and cooperate fully with law enforcement authorities in relation to any concerns regarding underage access.

All listings submitted to the Platform must be accurate, truthful, and not misleading. You are solely responsible for the content of your listings, including all text, photographs, and other materials. Listings must relate to lawful services and must comply with all applicable laws and regulations in England and Wales, including the Advertising Standards Authority (ASA) codes of practice.

All photographs uploaded to listings must depict the actual person offering the advertised services. The use of stock images, images of other individuals, or images obtained without the depicted person's express consent is strictly prohibited. We reserve the right to request verification of the identity of the person depicted in listing photographs at any time.

Listings are subject to review by our moderation team before publication and on an ongoing basis. We reserve the right to refuse, remove, or edit any listing at our sole discretion, without prior notice, if we determine that it violates these Terms, our content guidelines, or any applicable law. Repeated violations may result in the suspension or permanent termination of your account.

You may not post, upload, or transmit any content that: (a) is unlawful, threatening, abusive, harassing, defamatory, libellous, deceptive, fraudulent, or invasive of another's privacy; (b) promotes or facilitates trafficking, exploitation, coercion, or any form of non-consensual activity; (c) involves or depicts minors in any context; (d) contains unsolicited advertising, spam, or promotional material; (e) infringes upon the intellectual property rights of any third party; or (f) contains viruses, malware, or any other harmful computer code.

You further agree not to use the Platform to: solicit personal information from minors; impersonate any person or entity; stalk, intimidate, or harass other Users; interfere with or disrupt the Platform or its underlying infrastructure; attempt to gain unauthorised access to other User accounts or any part of the Platform's systems; or engage in any activity that we reasonably determine to be harmful to the Platform, its Users, or its reputation.

We cooperate fully with law enforcement authorities and may report any content or activity that we believe may constitute a criminal offence. We are under no obligation to monitor all content posted on the Platform, but we reserve the right to do so and to remove any content that we find objectionable at our sole discretion.

The Platform, including its design, layout, text, graphics, logos, icons, images, audio clips, software, and all other content (collectively, the "Platform Content"), is the property of MatchzClassified or its licensors and is protected by United Kingdom and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Platform Content without our express written permission.

By submitting content to the Platform, including listing text, photographs, and profile information, you grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with the operation and promotion of the Platform. You represent and warrant that you own or have the necessary rights, licences, and permissions to grant this licence.

If you believe that any content on the Platform infringes your intellectual property rights, please contact us at our designated address with a detailed description of the alleged infringement. We will investigate all legitimate claims and take appropriate action in accordance with applicable law.

Certain features of the Platform require a paid subscription or the purchase of tokens. All prices are displayed in British Pounds Sterling (GBP) and are inclusive of any applicable VAT. Payment is processed securely through Stripe, a PCI DSS-compliant payment processor. By making a purchase, you agree to Stripe's terms of service in addition to these Terms. We do not store your full payment card details on our servers.

Subscriptions automatically renew at the end of each billing period unless cancelled by you prior to the renewal date. You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation, your subscription benefits will remain active until the end of the current billing period, after which your account will revert to the free tier. No pro-rata refunds are provided for partial billing periods unless required by applicable law.

Refund requests for subscriptions must be submitted within fourteen (14) days of the initial purchase date, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. By using the Platform's paid features during the cancellation period, you acknowledge that you are requesting the service to begin immediately and that your right to cancel may be reduced accordingly. Refunds are issued to the original payment method and may take five to ten business days to process.

Tokens are a virtual currency used within the Platform to access premium features such as boosting listings to the top of search results. Tokens have no monetary value outside the Platform, cannot be exchanged for cash or any other form of currency, and are non-transferable between User accounts. Tokens are not redeemable for any sum of money or monetary value from us at any time.

Purchased tokens do not expire and remain in your account until used, provided your account remains in good standing. If your account is terminated for violation of these Terms, any unused tokens will be forfeited without refund. Some subscription plans include complimentary tokens as part of the plan benefits; these included tokens are subject to the same terms as purchased tokens.

We reserve the right to modify the token pricing structure, the cost of boost features, and the number of tokens included with subscription plans at any time. Any changes will be communicated to Users in advance and will not affect tokens already purchased. We shall not be liable for any loss arising from changes to the token system.

You agree to use the Platform in a manner that is respectful, lawful, and consistent with the purpose for which it is intended. You shall treat all other Users with courtesy and respect. Harassment, bullying, discrimination, hate speech, and any form of abusive conduct directed towards other Users, our staff, or any third party is strictly prohibited and will result in the immediate suspension or termination of your account.

You agree not to manipulate the Platform's features, including but not limited to: creating fake reviews or ratings; using automated tools or bots to access the Platform; scraping or harvesting data from the Platform; circumventing any rate limiting, access controls, or security measures; or engaging in any activity designed to artificially inflate the visibility or ranking of a listing.

We encourage all Users to report any behaviour that violates these Terms or our Community Guidelines using the reporting tools provided on the Platform. Reports are reviewed by our moderation team and appropriate action is taken in accordance with the severity and nature of the violation. We may, at our sole discretion, issue warnings, temporarily suspend, or permanently terminate accounts that violate our guidelines.

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

We are committed to complying with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We implement appropriate technical and organisational measures to protect your personal data against unauthorised or unlawful processing, accidental loss, destruction, or damage. The Platform is provided on an "as is" and "as available" basis without any representations or warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

MatchzClassified is a classifieds platform that connects advertisers and browsers. We do not verify, endorse, guarantee, or assume responsibility for any services advertised on the Platform, nor do we act as an intermediary, agent, or broker in any transaction between Users. Any arrangements made between Users are solely between those Users, and we accept no liability for the outcome of such arrangements.

To the maximum extent permitted by law, in no event shall the Company, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of, or inability to access or use, the Platform; (b) any conduct or content of any third party on the Platform; (c) any content obtained from the Platform; or (d) unauthorised access, use, or alteration of your transmissions or content. Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under English law.

In the event of any dispute arising out of or in connection with these Terms or your use of the Platform, you agree to first attempt to resolve the matter informally by contacting our support team. We will endeavour to resolve any complaint or dispute promptly and fairly. Most disputes can be resolved through open communication, and we encourage Users to contact us before pursuing formal proceedings.

If a dispute cannot be resolved informally within thirty (30) days of notification, either party may refer the matter to mediation administered by a mutually agreed mediator in England. If mediation is unsuccessful, either party may commence legal proceedings in accordance with the Governing Law clause set out below. Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief from the courts where necessary to protect their rights.

We may suspend or terminate your account and access to the Platform at any time, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease, and any data associated with your account may be deleted in accordance with our data retention policies and applicable law.

You may terminate your account at any time by using the account deletion feature in your dashboard settings or by contacting our support team. If you have an active paid subscription, you should cancel it prior to deleting your account to avoid further charges. Account deletion is permanent and irreversible; all listings, messages, reviews, and personal data associated with your account will be permanently removed from our systems in accordance with our Privacy Policy.

The following provisions shall survive termination of these Terms: Intellectual Property, Disclaimers & Limitation of Liability, Dispute Resolution, Governing Law, and any other provisions that by their nature are intended to survive termination.

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes to these Terms, we will notify Users by posting the updated Terms on the Platform with a revised "Last updated" date, and where appropriate, by sending an email notification to the address associated with your account.

It is your responsibility to review these Terms periodically for any changes. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of and agreement to the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Platform and close your account.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remaining Terms, which shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
